1. SERVICE OVERVIEW

1.1 Service Provided. Reseller grants Client a non-exclusive, non-transferable license to use the GoHighLevel white-label platform (the “Service”) for Client’s business operations. The Service includes:

  • CRM (contact management, tags, custom fields, lists)
  • Automations (email, SMS, basic workflows)
  • Landing pages and form builder
  • Scheduling and calendar
  • Integrations (Zapier, Stripe, PayPal, Google Calendar, etc.)
  • White-label branding (Reseller’s logo and colors)

1.2 No Guarantee of Uptime. The Service depends on GoHighLevel’s infrastructure. Reseller does not guarantee 99.9% uptime. GoHighLevel’s standard SLA is 99.5% uptime. For details, see https://www.gohighlevel.com/legal.

1.3 Client Data. All data entered into the Service by Client (contacts, automations, messages, etc.) is owned by Client. Reseller does not own, control, or claim rights to Client’s data.


2. PRICING & PAYMENT

2.1 Base Monthly Fee. Client shall pay Reseller $__________ per month (the “Base Fee”), due on the 1st day of each month.

2.2 Payment Method. Payment shall be made via [credit card / bank transfer / check] to the following account:

2.3 Late Payment. If payment is not received by the 15th of the month, Reseller may suspend the Service until payment is received. A $25 late fee applies to invoices overdue by more than 15 days.

2.4 Contact Overages. The Base Fee includes up to 500 contacts in the GoHighLevel Pro plan. If Client exceeds 500 contacts, Client shall pay Reseller $2.50 per additional contact per month (Reseller’s cost is $1.75/contact; Reseller retains $0.75/contact markup).

Example: If Client has 750 contacts, the overage is 250 contacts × $2.50 = $625/month, billed in addition to the Base Fee.

2.5 Overage Billing. Overages are calculated on the 1st of each month based on contact count as of the previous day. Overages appear on the next invoice.

2.6 No Refund Policy. Monthly fees are non-refundable. If Client terminates mid-month, the full month’s fee applies.


3. SUPPORT & SERVICE LEVEL AGREEMENT (SLA)

3.1 Support Channel. Reseller provides email-only support at [support email address].

3.2 Response Time. Reseller will respond to support requests within 48 business hours. This is best-effort; Reseller does not guarantee a specific response time.

3.3 Support Scope. Support includes:

  • Setup and configuration assistance (up to 2 hours initial onboarding, included in first month)
  • Troubleshooting technical issues
  • Feature guidance (e.g., “How do I set up an email automation?”)

Support does NOT include:

  • Custom automation building (unless purchased separately as a service add-on)
  • Third-party integrations (Reseller provides Zapier guidance; Zapier issues are Zapier’s responsibility)
  • GoHighLevel account recovery (Reseller cannot reset logins; Client must use GoHighLevel’s recovery process)

3.4 No Phone Support. This tier does not include phone or chat support. Email is the primary channel.


4. DATA ACCESS & TERMINATION

4.1 Data Ownership. Client owns all data in the Service. Reseller does not own, sell, or use Client’s data for any purpose (including marketing).

4.2 Data Export. Upon termination, Client has 30 days to download and export all contacts, automations, and messages as CSV files. Reseller will provide a CSV export link upon request.

4.3 Deletion After Export Window. If Client does not export data within 30 days of termination, Reseller may delete all Client data from the GoHighLevel sub-account.

4.4 No Data Backup After Termination. Reseller does not back up or retain Client’s data post-termination. It is Client’s responsibility to export and store data before the 30-day window closes.


5. TERMINATION

5.1 Term. This Agreement begins on the Effective Date and continues on a month-to-month basis unless terminated by either party.

5.2 Cancellation by Client. Client may cancel at any time by providing Reseller with 30 days’ written notice via email. The final month’s fee is due in full.

5.3 Cancellation by Reseller. Reseller may cancel if Client breaches the Agreement (e.g., non-payment for 30+ days) or violates any terms. Reseller will provide 30 days’ notice unless the breach is material (e.g., illegal use of the Service).

5.4 Effect of Termination. Upon termination:

  • Client’s access to the Service is immediately revoked
  • Client has 30 days to export all data
  • All fees owed are immediately due

6. LIABILITY & INDEMNIFICATION

6.1 Limitation of Liability. RESELLER’S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY CLIENT IN THE 12 MONTHS PRECEDING THE CLAIM, OR $500, WHICHEVER IS GREATER. THIS LIMITATION APPLIES TO ALL CLAIMS, INCLUDING CONTRACT, TORT, AND NEGLIGENCE.

6.2 Excluded Damages. Reseller is not liable for:

  • Lost profits or lost revenue
  • Loss of data or business interruption
  • Indirect, incidental, or consequential damages
  • Third-party claims

6.3 Exceptions. The liability cap does not apply to:

  • Infringement of Client’s intellectual property
  • Reseller’s gross negligence or willful misconduct
  • Breach of confidentiality (Section 5)

6.4 Indemnification by Client. Client shall indemnify and defend Reseller against any third-party claims arising from Client’s use of the Service, including claims that Client’s content violates a third party’s rights.


7. CONFIDENTIALITY & INTELLECTUAL PROPERTY

7.1 Confidential Information. Each party shall keep the other’s confidential information (pricing, client lists, proprietary methods) confidential. This does not apply to information that is publicly available or independently developed.

7.2 IP Ownership. Reseller owns the GoHighLevel white-label platform and related IP. Client owns all content and data created within the Service (contacts, automations, messages, landing pages).

7.3 No Transfer of IP. Client does not acquire any rights to GoHighLevel’s code, branding, or proprietary systems.


8. GENERAL TERMS

8.1 Governing Law. This Agreement is governed by the laws of [Your State], without regard to conflict of laws.

8.2 Dispute Resolution. Any disputes shall be resolved by binding arbitration in [Your State], unless the claim is under $5,000, in which case either party may bring it in small claims court.

8.3 Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings, whether written or oral.

8.4 Amendment. Reseller may amend this Agreement with 30 days’ written notice. Client’s continued use of the Service constitutes acceptance of the amendment.

8.5 Third-Party Service. The Service is provided by GoHighLevel LLC, which maintains its own terms of service at https://www.gohighlevel.com/legal. Reseller is not responsible for GoHighLevel’s uptime, data security, or policy changes.

  • CRM Module: Unlimited contacts (up to plan limit), custom fields, tags, lists, advanced segmentation
  • Automation Module: Multi-step workflows, email sequences, SMS campaigns, conditional logic, time-based triggers, webhook integrations
  • Communication Tools: Email marketing (built-in), SMS campaigns ($0.04/message billed separately), landing page builder, form builder
  • Integrations: 50+ native integrations including Stripe, PayPal, Square, Zapier, Facebook Ads, YouTube, Google Calendar, Slack, Twilio
  • Reporting & Analytics: Contact metrics, revenue reporting, appointment tracking, automation performance
  • Mobile App: iOS and Android apps for contact management, scheduling, and payment entry
  • Data Security: SSL encryption, GDPR compliance (if applicable), regular backups (performed by GoHighLevel)

1.2 White-Label Branding. The Service displays Client’s logo, colors, and domain (if Client provides custom domain). GoHighLevel branding is removed from Client-facing interfaces.

1.3 Service Availability. The Service is hosted on GoHighLevel’s infrastructure. Reseller does not control GoHighLevel’s uptime. Standard SLA is 99.5% uptime (excludes scheduled maintenance and force majeure events). For GoHighLevel’s full terms, see https://www.gohighlevel.com/legal.

1.4 Client Data Ownership. Client retains full ownership of all data (contacts, automations, messages, reports, etc.) entered into the Service. Reseller does not own, claim rights to, or use Client’s data without written permission.


2. SERVICE TIERS & PRICING

Client shall select one of the following tiers:

Tier A: Lite (for small practices, < 200 contacts)

  • Monthly Fee: $499
  • GoHighLevel Cost to Reseller: $199 (Pro plan, 500 contacts included)
  • Reseller Profit: $300/month
  • Included: All features in Section 1.1 + 8 hours onboarding + 1 monthly check-in call (30 min) + email support

Tier B: Pro (for growing agencies, 200–500 contacts)

  • Monthly Fee: $699
  • GoHighLevel Cost to Reseller: $199 (Pro plan) + estimated $100 overage buffer (buffer for 50–100 contacts, not guaranteed)
  • Reseller Profit: ~$400/month (before overage costs)
  • Included: All features in Section 1.1 + 8 hours onboarding + monthly check-in call (45 min) + Slack support channel + custom automation setup (up to 5 automations/month included)

Tier C: Enterprise (for agencies reselling, > 500 contacts)

  • Monthly Fee: $899
  • GoHighLevel Cost to Reseller: $299 (Unlimited plan)
  • Reseller Profit: $600/month
  • Included: All features in Section 1.1 + 20 hours implementation + unlimited automations + dedicated support (Reseller assigns a point person) + monthly strategy call (60 min) + quarterly business review

2.1 Pricing Election. Client shall select their tier on the Effective Date. Tier changes are allowed with 30 days’ notice; price increases take effect on the next billing cycle.

2.2 Monthly Billing. The selected monthly fee is due on the 1st of each month via [credit card / bank transfer / check]. Invoices are emailed on the last day of the prior month.

2.3 Annual Prepay Discount. If Client commits to 12 months of service and pays in advance, Reseller offers a 10% discount:

  • Tier A: $499 × 12 × 0.9 = $5,389 (one payment)
  • Tier B: $699 × 12 × 0.9 = $7,571 (one payment)
  • Tier C: $899 × 12 × 0.9 = $9,709 (one payment)

2.4 Late Payment. Invoices are due Net 30 (30 days from invoice date). If payment is not received by day 45, Reseller may suspend the Service. A $35 late fee applies to invoices overdue by 30+ days.

2.5 Contact Overages. Tiers A and B are based on GoHighLevel Pro (500 contacts included). If Client exceeds 500 contacts:

  • Overage Rate: $2.50 per contact per month
  • Overage Calculation: On the 1st of each month, if contact count > 500, the excess is multiplied by $2.50 and billed on the next invoice
  • Example: Client has 650 contacts. Overage = (650 − 500) × $2.50 = $375 billed in addition to the monthly tier fee.
  • Tier C Unlimited: Tier C clients (Unlimited plan) have no contact overages.

2.6 No Refunds. Monthly service fees are non-refundable. If Client terminates mid-cycle, the full month’s fee applies. Overage fees are also non-refundable.

2.7 Price Increases. Reseller may increase prices with 30 days’ written notice. Increases are effective on the 1st of the month following the notice date. Existing clients locked in at current price for the remainder of their annual commitment (if applicable).


3. SUPPORT & SERVICE LEVEL AGREEMENT (SLA)

3.1 Support Channels. Support is provided via:

3.4 Overage Support Hours. Support hours beyond those included in each tier are available at $150/hour (Tier A), $125/hour (Tier B), or $100/hour (Tier C).

3.5 Support Exclusions. Support does NOT include:

  • Third-party integrations (Zapier, Stripe, Facebook Ads, etc.) — Support is GoHighLevel guidance only; vendor issues are the vendor’s responsibility
  • Custom software development (e.g., building a custom CRM field type)
  • Hosting, domain, or email service setup (Client’s responsibility)
  • GoHighLevel account recovery or password resets (Client uses GoHighLevel’s recovery process)
  • Data migration from other platforms (available as a paid add-on service)

3.6 Business Hours. Support response times are during business hours (Mon–Fri, 9am–6pm [Your Timezone]), excluding holidays. Weekend/evening support is not available at this tier.

3.7 Service Uptime. While Reseller uses reasonable efforts to maintain Service availability, Reseller does not guarantee 99.9% uptime. GoHighLevel’s standard SLA is 99.5% (per Section 1.3). During outages, Reseller is not liable for any damages or losses.


4. IMPLEMENTATION & ONBOARDING

4.1 Kickoff Meeting. Within 5 days of the Effective Date, Reseller schedules a kickoff call (30 min) to:

  • Confirm support tier and expectations
  • Review Client’s use case and goals
  • Establish onboarding timeline

4.2 Onboarding Deliverables (Tier A & B: 8 hours; Tier C: 20 hours)

  • Setup Client’s white-label branding (logo, colors, domain)
  • Configure CRM (custom fields, tags, import existing contacts if provided)
  • Design 2–5 initial automations based on Client’s workflows (Tier A: 2;
